This Exclusive Rights Agreement (the "Agreement") is entered into on 30 July 2026 (the "Effective Date") by and between BeatStore (hereinafter referred to as the "Licensor") and [Your name] (hereinafter referred to as the "Licensee").
The Licensor hereby grants to the Licensee an EXCLUSIVE, worldwide, perpetual license to use the instrumental music track titled "[Beat title]" (the "Beat"), produced by BeatStore Productions, under the terms of the "Exclusive License" license.
Unlike the Licensor's standard non-exclusive leases, this Exclusive License removes all usage caps. The Licensee may use the Beat in one or more derivative vocal recordings (each, a "New Song") without limitation as to:
Upon receipt of full payment, the Beat shall be permanently removed from the Licensor's platform and shall not thereafter be licensed, leased, or sold to any other party. The Licensor warrants that, other than any non-exclusive licenses already sold to third parties prior to the Effective Date (which remain valid and are unaffected by this Agreement), it has not granted and will not grant any conflicting rights in the Beat.
Unlike the Licensor's non-exclusive leases, the Licensee MAY register the New Song with content identification systems such as YouTube Content ID, Facebook Rights Manager, or similar digital fingerprinting services, and monetize the New Song accordingly. The Licensee may not, however, register or claim copyright ownership of the original, unaltered Beat instrumental itself.
Producer credit is optional for this Exclusive License and is left to the Licensee's discretion.
The Licensor and the original producer retain the underlying copyright and authorship of the Beat. This Agreement grants the Licensee an exclusive, irrevocable, perpetual commercial license to exploit the Beat as described above. It does not constitute a transfer of copyright, authorship, or a "work made for hire" assignment unless separately agreed to in writing by both parties.
The publishing rights (Writer's Share) for any New Song shall be split fifty percent (50%) to the Licensee (as the lyricist/vocalist) and fifty percent (50%) to BeatStore Productions (as the composer), unless otherwise agreed in writing. The Licensee is responsible for registering this split with their respective Performance Rights Organization (PRO).
The Licensee agrees to pay the Licensor a non-refundable flat fee of €199.99 for this Exclusive License. The receipt of this payment is hereby acknowledged.
This Agreement shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Dutch courts.
By purchasing this Exclusive License and downloading the Beat, the Licensee acknowledges that they have read, understood, and agreed to all the terms and conditions outlined in this Agreement.
